1. Definitions
- "Platform" means the MyMuute website, mobile application, and related booking infrastructure.
- "Client" means any individual, venue, business, or organization that books a Musician through MyMuute, including recurring or retainer clients such as restaurants and event venues.
- "Musician" means any performer, instrumentalist, vocalist, or entertainment act listed on MyMuute.
- "Booking" means a confirmed engagement of a Musician by a Client through the Platform, whether one-off or recurring.
- "Event" means the specific occasion, performance, or engagement for which a Booking is made.
2. Eligibility & Account Registration
To book a Musician through MyMuute, you must register an account and provide accurate, current information about yourself or your business. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Clients must be at least 18 years old or booking on behalf of a duly registered business or organization.
3. Bookings
3.1 Making a Booking
Clients search, select, and request performances through the Platform. A Booking is only confirmed once payment (or the applicable deposit) has been made in accordance with MyMuute's Payment & Refund Policy.
3.2 Recurring & Retainer Bookings
Clients such as restaurants, hotels, and venues with ongoing entertainment needs may enter into recurring or retainer bookings for regular or scheduled performances. Recurring bookings are governed by the specific schedule, rate, and renewal terms agreed at the time of setup, in addition to these Terms and MyMuute's Payment & Refund Policy.
3.3 Accuracy of Event Details
Clients must provide accurate event details, including date, time, venue, duration, technical requirements, and any special conditions. MyMuute and the Musician are not liable for performance issues arising from inaccurate or incomplete information supplied by the Client.
4. Payments & Fees
All payments are processed through MyMuute's designated payment channels, which may include escrow arrangements as described in the Payment & Refund Policy. Cancellation windows, refund eligibility, and force majeure provisions applicable to Client bookings are set out in that Policy and form part of these Terms by reference. MyMuute may charge a service or platform fee on Bookings, disclosed to the Client before payment is finalized.
5. Client Obligations
- Provide a safe, accessible, and suitable performance environment for the booked Musician.
- Ensure the agreed venue, equipment, and logistical arrangements are available at the agreed time.
- Treat Musicians and their crew with professionalism and respect.
- Make full payment in accordance with the agreed terms and MyMuute's Payment & Refund Policy.
- Communicate any changes to event details as early as possible through the Platform.
6. Filming, Photography & Content Rights
Unless otherwise agreed in writing with the Client, MyMuute (directly, through its affiliated production arm, or through an authorized representative) reserves the right to film, photograph, record, and otherwise document performances and activity at Events it features or facilitates through the Platform. This includes both the Musician's performance and general event coverage.
Content captured under this right may be used by MyMuute for marketing, promotional, and platform-growth purposes, including on its website, social media channels, advertising, and other promotional materials, without additional compensation to the Client, except as set out below.
6.1 Exclusivity Opt-Out
A Client may request that their Event, performance, or footage be excluded from MyMuute's filming and marketing use, or that usage rights be restricted or made exclusive to the Client. Such requests must be agreed in writing with MyMuute in advance of the Event. Where exclusivity or opt-out is granted, it will attract a separate exclusivity fee, the amount of which will be communicated and agreed with the Client before the Event.
6.2 No Opt-Out Without Agreement
Where no such written agreement is in place before the Event, MyMuute's standard right to film and use content for marketing purposes, as described above, applies by default.
7. Intellectual Property
All content produced by MyMuute under Section 6, including photographs, video, and edited derivatives, remains the intellectual property of MyMuute unless a separate rights transfer or exclusivity agreement states otherwise. The MyMuute name, logo, and platform technology remain the property of MyMuute and may not be used without written permission.
8. Cancellations, Refunds & Force Majeure
Cancellation windows, refund eligibility, musician-side obligations in the event of cancellation, and force majeure provisions are governed by MyMuute's Payment & Refund Policy, which is incorporated into these Terms by reference. In the event of a conflict between that Policy and general statements in these Terms regarding payment, the Payment & Refund Policy shall govern.
9. Conduct & Prohibited Use
- Using the Platform to circumvent MyMuute's booking and payment process (e.g., arranging direct payment to avoid fees).
- Harassment, discrimination, or abusive conduct toward Musicians, crew, or MyMuute staff.
- Providing false information about identity, venue, or event details.
- Any use of the Platform for unlawful purposes.
MyMuute reserves the right to suspend or terminate a Client account for violation of these Terms.
10. Liability
MyMuute facilitates connections and bookings between Clients and Musicians but is not the employer of Musicians and is not liable for the manner of performance, except where MyMuute directly caused the failure. MyMuute's aggregate liability to a Client arising from any Booking shall not exceed the amount paid by the Client for that specific Booking. MyMuute is not liable for indirect, incidental, or consequential damages.
11. Dispute Resolution
Clients and Musicians are encouraged to resolve disputes amicably in the first instance, with MyMuute available to mediate where required. Unresolved disputes shall be subject to the governing law and jurisdiction stated below.
12. Termination
Either party may terminate a Client account at any time, subject to settlement of any outstanding bookings, payments, or obligations. MyMuute may suspend or terminate access immediately for a material breach of these Terms.
13. Changes to These Terms
MyMuute may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms. Material changes will be communicated to registered Clients.
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
