Musician Terms of Service

• "Platform" means the MyMuute website, mobile application, and related booking infrastructure.
• "Musician" means any performer, instrumentalist, vocalist, or entertainment act registered on MyMuute.
• "Client" means the individual, venue, business, or organization booking a performance through MyMuute.
• "Event Manager" (may also be referred to as "Artiste Manager") means the MyMuute representative assigned to an Event who coordinates communication, logistics, and on-the-ground delivery between MyMuute, the Client, and the Musician.
• "Assignment" means an engagement offered to a Musician by MyMuute under the assignment-based model described in Section 3.
• "Marketplace Booking" means an engagement arising from a future model, described in Section 4, in which a Client selects or requests a specific Musician directly.
• "Event" means the specific occasion or performance for which a Musician is engaged.

To be engaged through MyMuute, you must register as a Musician, provide accurate information about your skills, experience, and availability, and complete any audition, vetting, or certification process MyMuute requires. MyMuute may decline, suspend, or revoke a Musician's registration at its discretion where standards of professionalism, competence, or conduct are not met. You are responsible for the accuracy of your profile, including your instrument(s), genres, availability, and equipment.

Whether an engagement arises under Section 3 or Section 4, the Event Manager assigned to an Event is responsible for coordinating logistics, relaying Client requirements, resolving on-the-ground issues, and confirming performance completion. Musicians must follow reasonable instructions from the Event Manager relating to timing, venue conduct, technical setup, and Client-specific requirements communicated in advance of the Event.

Musician fees for an Assignment or Marketplace Booking will be communicated before the engagement is confirmed. Payments are processed through MyMuute's escrow arrangement as set out in MyMuute's Payment & Refund Policy, which is incorporated into these Terms by reference. MyMuute may deduct a platform or service commission from the Musician's fee before payout; the applicable rate will be disclosed to the Musician in advance. Payout timing, escrow release conditions, and musician-side cancellation forfeitures are governed by that Policy.

If you need to cancel an accepted Assignment or Marketplace Booking, you must notify MyMuute (via the Event Manager, where applicable) as early as possible and in any event within the notice window set out in the Payment & Refund Policy. Late cancellations or no-shows may result in forfeiture of fees, temporary or permanent suspension from the Platform, and liability for reasonable costs MyMuute incurs in securing a replacement Musician.

• Arrive punctually and prepared, with all equipment agreed for the Event in good working order.
• Perform professionally and in accordance with the brief communicated by the Event Manager.
• Treat Clients, venue staff, audiences, other Musicians, and MyMuute personnel with respect.
• Warrant that you hold any rights, licenses, or clearances necessary to perform the material you perform, including cover songs, and that your performance does not infringe any third party's rights.
• Comply with venue rules, safety requirements, and any technical or logistical instructions issued by the Event Manager.
• Not represent yourself as an employee of MyMuute; your relationship with MyMuute is that of an independent contractor unless otherwise agreed in writing.

Under the assignment-based model, Musicians must not solicit, accept, or arrange direct bookings, payments, or future engagements from a Client introduced through MyMuute, outside the Platform, for a period of 12 months from the date of the relevant Event. Under a Marketplace Booking, a Musician must not direct a Client to complete payment, or arrange the engagement, outside the Platform. A breach of this Section may result in suspension or termination of your MyMuute account and liability for the fees MyMuute would otherwise have earned.

You retain ownership of your original musical works and performances. Content produced by MyMuute under Section 10, including edited photographs, video, and derivatives, is owned by MyMuute, subject to the license granted above. The MyMuute name, logo, and platform technology remain the property of MyMuute and may not be used without written permission.

You are responsible for your own equipment, instruments, and any personal insurance you consider necessary. MyMuute is not liable for loss of or damage to a Musician's personal equipment at an Event, except where caused by MyMuute's own negligence. MyMuute's aggregate liability to a Musician arising from any single engagement shall not exceed the fee payable for that engagement. Nothing in this Section limits liability that cannot be excluded under applicable law.

Your registration with MyMuute continues until terminated by either party. MyMuute may suspend or terminate your account for breach of these Terms, repeated cancellations, unprofessional conduct, or violation of the non-circumvention provisions in Section 9. You may deactivate your account at any time, subject to fulfilling any outstanding accepted Assignments or Marketplace Bookings.

Musicians and Clients are encouraged to resolve disputes amicably in the first instance, with the Event Manager and MyMuute available to mediate where required. Unresolved disputes shall be subject to the governing law and jurisdiction stated below.

MyMuute may update these Terms from time to time, including to reflect a transition toward the marketplace model described in Section 4. Continued use of the Platform, or acceptance of an Assignment or Marketplace Booking, after changes take effect constitutes acceptance of the revised Terms. Material changes will be communicated to registered Musicians in advance.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
